Licence

  1. All prices listed on the website are inclusive of GST unless otherwise stated. Two price tiers are $75/week and $150/week are weekly payment automatically dedicated from your credit card. Weekly deductions occur 52 weeks. After 52 weeks, you may cancel access to the marketing program.
  2. The Licensee (Your Business) acknowledges that intellectual property in the Marketing Material or any part of the Marketing Material is, and remains at all times, the property of the Licensor, and that the Marketing Material must only be used for the Licensed Activity, cannot be used for the Restricted Activity (see Item 11) or outside the Licensed Area (if one is noted in Item 9 of the Schedule), or otherwise dealt with by The Licensee (Your Business) as provided in this Agreement.
  3. The Licensee (Your Business) must ensure that the Marketing Material is not subjected to any treatment which is prejudicial to the honour or reputation of Salon Marketing Solutions and does not infringe the moral rights of the author, or where Salon Marketing Solutions is a corporation, of the author of the intellectual property.

 

Obligations of The Licensee (Your Business)

  1. During the Term The Licensee (Your Business) must not:
  • hold itself out, engage in any conduct or make any representation which may suggest to any person that The Licensee (Your Business) is for any purposes the agent of the Licensor; or
  • sell, offer to sell or license the Marketing Material to any other party,

 

Termination

  1. Either party may terminate this Agreement for no reason having given the other party 30 business days’ notice in writing.
  2. Salon Marketing Solutions may terminate this Agreement immediately in the event The Licensee (Your Business) attempts to claim ownership of the Marketing Material or act in a manner adverse to the Licensor’s ownership rights of the Marketing Material.
  3. If the other party fails to comply with or observe any of the provisions of this Agreement and where that failure is capable of remedy the other party fails to remedy such a failure within 10 business days of notice specifying the failure and requiring it to be remedied.

 

GST

  1. GST means a goods and services tax as defined in A New Tax System (Goods and Services Tax) Act 1999.
  2. In respect of any taxable supply, The Licensee (Your Business) must pay to Salon Marketing Solutions an additional amount equal to the licence fee in Item 8 plus the prevailing GST rate.
  3. The additional amount referred to in this clause is payable at the same time and in the same manner as the licence fee subject to the receipt by The Licensee (Your Business) of a valid tax invoice (as defined in A New Tax System (Goods and Services Tax) Act 1999).
